POIZON Online Authentication Addendum

This Online Authentication Addendum (this “Addendum”) is incorporated into and forms part of the POIZON Terms of Use between you and POIZON HOLDING PTE. LTD. (“POIZON,” “we,” “us,” or “our”) (the “Terms”). Capitalized terms not defined in this Addendum have the meanings given in the Terms.

This Addendum governs only the Online Authentication service described below. If there is a conflict between this Addendum and the Terms with respect to Online Authentication, this Addendum controls. All other provisions of the Terms remain in full force and effect, including (without limitation) disclaimers, limitations of liability, and any dispute resolution provisions.

BY ACCESSING OR USING THE ONLINE AUTHENTICATION SERVICE, YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY THIS ADDENDUM. IF YOU DO NOT AGREE WITH ANY PROVISION OF THIS ADDENDUM, ANY APPLICABLE ONLINE AUTHENTICATION RULES, OR ANY INFORMATION DISPLAYED IN CONNECTION WITH ONLINE AUTHENTICATION, INCLUDING ANY AMENDED OR ADJUSTED CONTENT, YOU MUST IMMEDIATELY CEASE USING THE ONLINE AUTHENTICATION SERVICE.

1. Online Authentication Service

1.1 What Online Authentication Is. We may offer an online authentication feature through our Services that allows you to submit images of certain goods for our review (the “Online Authentication” service). Each request you submit is a “Submission.”

1.2 Separate From Purchase Authentication. Online Authentication is separate and apart from (and does not affect) any authentication process applicable to items that are offered for sale or purchased through our Services. An Online Authentication result is not a promise or guarantee that the same item or any similar item will pass any other authentication process.

1.3 Nature of Result; No Reliance. Online Authentication provides a non-binding opinion based solely on the images and information you submit. It is not a certification, appraisal, valuation, or warranty, and you should not rely on it for any commercial, insurance, investment, or other decision. Online Authentication results may be inaccurate or incomplete for many reasons, including limitations inherent to image-based review.

2. Photo Requirements; Disclaimer

2.1 Photo Requirements. Your Submission must comply with all photo and content requirements stated in (i) this Addendum and (ii) any in-product instructions and guides we provide, including our Photo Shooting Guide for Beginners (collectively, “Photo Requirements”).

2.2 Quality Drives Accuracy. The accuracy and usefulness of Online Authentication depends heavily on the images you provide. Results may vary due to factors such as angle, lighting, focus, resolution, obstruction, compression, edits, or missing views.

2.3 Non-Compliant Content; Removal. We may reject, remove, or decline to process any Submission that violates the Terms, the Photo Requirements, or our content rules, including Submissions involving violence, obscenity, political content, or other prohibited or non-compliant material.

2.4 Re-Submissions. We may request additional images or information as a condition to issuing a result. If you do not provide requested information, we may close the Submission without a result.

2.5 Manipulated or Abusive Submissions. We may reject or close Submissions that include manipulated, composite, or intentionally obfuscated images (including “puzzle,” collage, or similar techniques) or other suspected abusive activity.

3. Fees

3.1 Authentication Fees. We charge a fee for Online Authentication (the “Authentication Fee”). Unless a free voucher is applied, you will be charged the Authentication Fee displayed in the Services at the time you submit your Submission.

3.2 Monthly Free Allowance. Subject to Section 4 (Vouchers), you will get three (3) free Online Authentication Submissions per month per eligible account, each of which shall be redeemed through the issuance and application of a valid voucher. Each voucher shall be valid for a single authentication submission only and shall be subject to the applicable terms and conditions in effect at the time of redemption.

3.3 Standard Fee Schedule. Items are classified as Non‑Luxury or Luxury for Online Authentication fee purposes (as displayed in the Services). Current baseline pricing in certain service experiences is as follows:

  • Non‑Luxury (e.g., ordinary shoes, bags, apparel, beauty, and other non-standard items): $2 per Submission
  • Luxury (e.g., luxury shoes, bags, apparel, watches, accessories, designer toys or collectibles): $8 per Submission

Actual fees may vary by category and brand configuration and will be presented to you in the Services before you submit.

3.4 Payment Methods. You may pay Authentication Fees using supported payment methods made available in the Services. Your payment is subject to the terms of the applicable third-party payment processor, and you are responsible for complying with those terms.

3.5 Discounts. We may offer prepaid Online Authentication packs or multi-use cards that apply discounts to standard Authentication Fees, as displayed on the applicable Services details page. Pack pricing, eligibility, included benefits, expiration (if any), and any additional terms will be disclosed in the Services at purchase and govern your use of the pack.

4. Vouchers

Additional voucher-specific terms may apply and will be disclosed on the front of the voucher (the “Voucher Terms”). If there is a conflict, the information displayed on the applicable voucher controls for that voucher.

We may, at our sole and absolute discretion, issue vouchers to you based on factors including, without limitation, your registration status, account standing, user activity, or any other eligibility criteria that we determine from time to time. Nothing in these Addendum obligates us to issue any voucher to any user.

4.1 Voucher Types (Current Model and Subject to Change). Registered Users may receive the following vouchers:

  • Universal Voucher: three (3) per month, available to all users (as displayed).
  • Non‑Luxury Voucher: provides a credit up to $2 toward a Non‑Luxury Online Authentication fee (available to eligible users only).
  • Luxury Voucher: provides a credit up to $8 toward a Luxury Online Authentication fee (available to eligible users only).

4.2 General Voucher Rules. The expiration date, validity period, minimum purchase threshold, and any other applicable conditions for each voucher shall be as displayed on the applicable service interface at the time of issuance or redemption. You are responsible for reviewing such information prior to use. Unless otherwise required by applicable law or expressly stated in the applicable Voucher Terms, the following conditions apply to all Online Authentication vouchers:

  • Scope of Use. Vouchers may be redeemed solely toward Online Authentication fees and do not apply to the purchase of physical goods, or to shipping, taxes, payment processing fees, or any other products or services.
  • Expiration. Vouchers not redeemed within their stated validity period will automatically expire without compensation, extension, or replacement.
  • No Cash Value; Non-Transferable. All vouchers are personal to the registered account to which they are issued. Vouchers are non transferable, non assignable, and may not be resold, redeemed for cash, or otherwise exchanged, except as expressly permitted by us.
  • Usage Restrictions. A voucher may be subject to limitations, including but not limited to item type, category, brand, country, region, account eligibility, or validity period, as displayed in the Services or in the applicable Voucher Terms.
  • Personal and Single-Use. Unless expressly stated otherwise, vouchers are issued for one-time use by the eligible user account only and may not be split or applied across multiple Submissions.
  • Limits and Abuse Prevention. We further reserve the right to suspend, cancel, revoke, modify, or invalidate any voucher, or to disqualify any user from voucher eligibility, if we reasonably suspect fraud, abuse, misuse, violation of these Terms, or any conduct that we believe compromises the fairness, integrity, or intended purpose of the voucher program.
  • Erroneous Issuance. If a voucher is issued in error due to system, technical, or configuration issues (including incorrect value, type, or conditions), we may correct, adjust, or revoke such voucher.

5. Refunds

Except as expressly stated in this Addendum (or required by applicable law), Authentication Fees are non-refundable. Without limiting the foregoing, we are not required to provide refunds or credits where a result is impacted by (or we cannot complete review due to) non-compliant Submissions, insufficient image quality, missing required angles, altered or manipulated images, or other Submission defects. We may, at our sole and aboslute discretion, issue a refund, credit, or review opportunity in appropriate circumstances, including where we determine that the inability to complete the authentication was not primarily attributable to the user. Any such refund, credit, or accommodation shall not constitute a waiver of this Addendum and shall not create any obligation for us to provide similar relief in any other instance.

6. Limitation of Liability

6.1 EXCLUSION OF DAMAGES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL POIZON, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AUTHENTICATORS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR SIMILAR DAMAGES, INCLUDING WITHOUT LIMITATION ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF OPPORTUNITY, BUSINESS INTERRUPTION, LOSS OF GOODWILL, LOSS OF DATA, DIMINUTION IN VALUE, OR ANY RELIANCE-BASED LOSSES, ARISING OUT OF OR RELATING TO:

(a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, ONLINE AUTHENTICATION;

(b) ANY SUBMISSION, IMAGE, INFORMATION, DESCRIPTION, OR MATERIAL PROVIDED BY YOU;

(c) ANY ONLINE AUTHENTICATION RESULT, INCLUDING ANY DETERMINATION THAT AN ITEM IS “AUTHENTIC,” “NOT AUTHENTIC,” OR “INCONCLUSIVE”; OR

(d) ANY DECISION, TRANSACTION, TRANSFER, SALE, PURCHASE, INSURANCE ARRANGEMENT, INVESTMENT ACTION, OR OTHER CONDUCT UNDERTAKEN BY YOU OR ANY THIRD PARTY IN RELIANCE ON AN ONLINE AUTHENTICATION RESULT,

REGARDLESS OF (i) WHETHER SUCH DAMAGES WERE FORESEEABLE, (ii) WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (iii) THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

6.2 LIABILITY CAP

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF POIZON AND ITS AFFILIATES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO ONLINE AUTHENTICATION SHALL NOT EXCEED THE LESS OF:

(a) ONE HUNDRED UNITED STATES DOLLARS (USD 100); OR

(b) THE TOTAL AUTHENTICATION FEES ACTUALLY PAID BY YOU FOR THE SPECIFIC SUBMISSION GIVING RISE TO THE CLAIM.

FOR THE AVOIDANCE OF DOUBT, ANY LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES ONLY AND SHALL EXCLUDE ALL CATEGORIES OF DAMAGES DESCRIBED IN SECTION 6.1.

WITHOUT LIMITING THE FOREGOING, WHERE A REMEDY IS EXPRESSLY PROVIDED UNDER SECTION 5 (INCLUDING REFUND, VOUCHER RETURN, OR ADDITIONAL CREDIT), SUCH REMEDY SHALL CONSTITUTE YOUR SOLE AND EXCLUSIVE REMEDY FOR THE APPLICABLE CIRCUMSTANCE, UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW.

7. Disclaimers

7.1 Technical Risks. You understand that we do not guarantee that Online Authentication, the platform hosting it, or any content or data transmitted through it will be free of viruses, defects, vulnerabilities, service interruptions, or other harmful components. You are responsible for implementing appropriate safeguards for your own systems, devices, and data, including backup and security measures.

7.2 Cybersecurity. To the fullest extent permitted by applicable law, we are not liable for any loss or damage caused by cyberattacks, security breaches, viruses, malware, corrupted data, unauthorized access, or other technologically harmful material arising in connection with your access to or use of Online Authentication or any Submission.

7.3 No Guarantee of Outcome. Without limiting the foregoing, we do not represent or warrant that:

(a) any result will be accurate, error free, or consistent with any other authentication process,

(b) any defects or technical issues will be corrected,

(c) Online Authentication will be uninterrupted or secure, or

(d) any result will meet your expectations, commercial objectives, resale needs, or third party requirements.

7.4 No Commercial Reliance. Except as expressly stated in this Addendum, we make no representation or warranty regarding the authenticity, originality, merchantability for resale, non infringement, or compliance of any goods with any brand owner’s standards or requirements. You acknowledge that Online Authentication provides only a non binding opinion based on submitted images and does not constitute a certification, guarantee, or assurance for resale, onward distribution, or commercial use.

7.5 Non Excludable Rights. Nothing in this Section excludes or limits any warranty or right that cannot be excluded or limited under applicable law.

8. Service Modifications

We may modify, suspend, or discontinue Online Authentication (in whole or in part) at any time. You may stop using Online Authentication at any time. We are not responsible for any inability to access or use Online Authentication, subject to the Terms and applicable law.

9. Governing Law

This Addendum is governed by and construed in accordance with the laws of Singapore, without regard to any conflict of law rules or principles, and any dispute arising out of or in connection with this Addendum, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference into this clause, the seat of arbitration shall be Singapore, the arbitral tribunal shall consist of three (3) arbitrators, the language of the arbitration shall be English, and this arbitration agreement shall be governed by the laws of Singapore, and the parties agree that, during the resolution of any dispute, including resolution by arbitration, they shall continue to perform their respective obligations under this Addendum unless the disputed matter materially prevents such performance, provided that nothing herein shall limit any party’s right to terminate this Addendum in accordance with its terms.

This clause shall prevail over Section 32.8 (Governing Law and Venue) of the Terms.

10. Language

This Addendum is drafted in English. If this Addendum were to be translated into a language other than English, the English version shall prevail and control in all aspects and in the event of discrepancies or inconsistencies between the English and translated versions.

12. Amendments

To the extent permitted by applicable laws and regulations, we reserve the right to amend or adjust this Addendum, the Online Authentication rules, or any related page content based on actual circumstances. Any such amendments or adjustments will be published within the Services and shall take effect as of the date of publication.
